Terms of Service

Last updated: 2025-11-30

These Terms of Service ("Terms") govern your access to and use of OpenDeveloperStudio ("ODS", "we", "us", "our"). By accessing or using ODS you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

ODS provides educational and collaborative software development content: live streamed sessions, episode replays, code highlights, notes, and enterprise learning features. Certain functionality (e.g. subscription access, enterprise seat management) requires an active paid plan through our billing integration with Stripe.

2. Eligibility

You must be at least 16 years old (or digital consent age in your jurisdiction) to create an account. Accounts created by automated means are prohibited. Organizational (enterprise) use must be authorized by a designated administrator.

3. Account & Sign-In

Authentication is performed via passwordless "magic links" sent to the email address you supply. You are responsible for safeguarding access to that inbox. You agree not to share, sell, or otherwise transfer your account. We may revoke access if we detect abuse, impersonation, or security risk.

4. Subscription & Billing

  • Subscriptions are billed via Stripe; charges recur until cancelled.
  • Price changes: reasonable prior notice will be provided for increases.
  • Cancellation: benefits continue until the end of the current billing period.
  • Refunds: generally not provided except where required by law.

5. Enterprise Seats

Enterprise plans allocate seats to a single organization. Each seat must map to a unique natural person. We may audit seat usage for compliance. Unused or reclaimed seats can be re-assigned within the paid term unless otherwise specified.

6. Acceptable Use

Prohibited conduct includes (non-exhaustive):

  • Attempting unauthorized access or disrupting performance.
  • Uploading malicious code.
  • Harassing, threatening
  • Infringing IP or privacy rights.
  • Recording or redistributing paid content beyond allowed use.

7. Intellectual Property

All original content (streams, episodes, notes, UI components) is owned by ODS or licensors. During an active subscription we grant you a limited, non-exclusive, non-transferable license to view and internally use the content for educational purposes. You retain rights to original code or materials you independently create and share in chats or Q&A, but you grant ODS a worldwide, royalty-free license to display contributed material within the platform.

8. Feedback

Suggestions or improvements may be used by us without restriction or compensation.

9. Third-Party Services

We rely on third parties (Stripe, MailerSend, hosting, analytics). Their separate terms may apply. We are not responsible for failures beyond our reasonable control.

10. Privacy

See our Privacy Policy for data practices. Use implies consent.

11. Availability & Changes

We strive for high availability but do not guarantee uptime. Features may evolve or be deprecated. Material changes will be announced (in-app or email). Continued use after changes constitutes acceptance.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED) INCLUDING ACCURACY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. Evaluate code examples before production use.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW ODS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR OPPORTUNITIES. Aggregate direct liability is limited to fees paid in the prior three (3) months.

14. Indemnification

You will indemnify ODS against claims arising from misuse, violation of these Terms, or infringement of rights.

15. Termination

We may suspend or terminate access for violations or security risks. Licenses end upon termination.

16. Governing Law

Governed by the laws of the jurisdiction where ODS is formed; venue lies in its competent courts.

17. Miscellaneous

If any provision is unenforceable the remainder stays effective. Non-enforcement is not a waiver. Assignment requires consent.
